These Affiliate Partner Terms and Conditions ("Terms") govern participation in the STANIFICENT Affiliate Partner Program operated by STANIFICENT GLOBAL TECHNOLOGIES LTD ("Company", "we", "our", or "us").

By applying for, joining, or participating in the Affiliate Partner Program, you ("Affiliate Partner", "Affiliate", or "you") agree to be bound by these Terms.

1. Affiliate Program

The STANIFICENT Affiliate Partner Program allows approved Affiliate Partners to promote eligible products and services offered by STANIFICENT GLOBAL TECHNOLOGIES LTD and earn commissions on qualifying sales in accordance with these Terms.

Participation in the program does not create any employment, agency, partnership, franchise, joint venture, or ownership relationship between the Company and the Affiliate.

2. Eligibility

To participate in the Affiliate Program, you must:

• Provide accurate and complete information during registration.
• Comply with all applicable laws and regulations.
• Maintain truthful and professional conduct while representing the Company.

The Company reserves the right to approve, reject, suspend, or terminate any application or Affiliate account at its sole discretion.

3. Approval of Applications

Submitting an application does not guarantee acceptance into the Affiliate Program.

The Company may:

• Approve or reject any application.
• Request additional information.
• Suspend review of any application.
• Revoke approval at any time where deemed necessary.

No reason is required to be provided for approval or rejection decisions.

4. Affiliate ID

Upon approval, the Affiliate may be assigned a unique Affiliate ID.

The Affiliate ID:

• Remains the property of the Company.
• May be changed, suspended, or revoked by the Company.
• Must not be transferred, sold, shared, or assigned to another person without written authorization.

5. Commission Structure

Approved Affiliates may earn commissions on qualifying sales referred to the Company.

Unless otherwise stated in writing:

• Commission is calculated based on the applicable Affiliate Program structure published by the Company.
• Commissions are earned only on eligible sales approved by the Company.
• The Company reserves the right to modify commission structures, rates, eligibility rules, and payment requirements at any time.

6. Eligible Products and Services

Approved Affiliate Partners may promote only the products and services designated by STANIFICENT GLOBAL TECHNOLOGIES LTD as eligible for the Affiliate Program.

Eligible products and services include:

• STANIFICENT WORKFORCE
• STANIFICENT ENTERPRISE SOFTWARE
• STANIFICENT ENTERPRISE CLOUD
• Website Design & Development Services

The Company reserves the right to add, remove, suspend, modify, or replace eligible products and services from the Affiliate Program at any time.

Not all products or services offered by STANIFICENT GLOBAL TECHNOLOGIES LTD are eligible for affiliate commissions.

7. Commission Rate

Approved Affiliate Partners shall earn a commission equal to twenty percent (20%) of the first successful payment transaction made by a customer directly referred by the Affiliate and accepted by STANIFICENT GLOBAL TECHNOLOGIES LTD.

8. First Payment Transaction Rule

A commission is earned only on the first successful payment transaction made by a referred customer.

For the purpose of these Terms, a First Payment Transaction means the first payment successfully received and verified by STANIFICENT GLOBAL TECHNOLOGIES LTD from the referred customer.

No commission shall be payable on:

• Subscription renewals
• Recurring payments
• Maintenance fees
• Support fees
• Upgrades
• Additional purchases
• Future purchases
• Repeat purchases
• Subsequent invoices
• Any payment made after the first qualifying payment transaction

A referred customer may generate only one commissionable transaction.

The Company's determination regarding qualifying referrals and qualifying transactions shall be final.

9. Commission Payment

A commission becomes eligible for payment only when:

• The referred customer has completed payment in full.
• The payment has been successfully received and verified.
• The transaction has not been cancelled, refunded, reversed, disputed, charged back, or determined to be fraudulent.
• The transaction qualifies under the Affiliate Program.

Eligible commissions shall be processed monthly and paid on or before the 15th day of the following month in which the qualifying payment was received and verified.

Commission payments shall be made using the payment details provided by the Affiliate during registration or such other payment method approved by STANIFICENT GLOBAL TECHNOLOGIES LTD.

The Company reserves the right to withhold, delay, deny, adjust, or reverse commissions where fraud, abuse, misrepresentation, duplicate referrals, inaccurate information, or violations of these Terms are suspected or detected.

No commission shall be payable where the customer was already known to, previously engaged by, or already in active discussions with STANIFICENT GLOBAL TECHNOLOGIES LTD before the Affiliate referral was made.

10. Qualifying Sales

A sale shall be considered a qualifying sale only when:

• The customer completes payment in full.
• The payment has been successfully received and verified.
• The sale is not cancelled, refunded, reversed, disputed, fraudulent, or otherwise invalid.
• The Company confirms the Affiliate's involvement in generating the sale.

The Company's determination regarding qualifying sales shall be final.

11. No Guaranteed Earnings

The Company makes no guarantee regarding:

• Earnings.
• Income.
• Referrals.
• Customer conversions.
• Sales volume.
• Business opportunities.

Affiliate results depend on individual effort, marketing activities, market conditions, customer demand, and other factors outside the Company's control.

12. Affiliate Responsibilities

Affiliate Partners are responsible for:

• Promoting products and services honestly and professionally.
• Providing accurate information to prospective customers.
• Following all applicable laws and regulations.
• Protecting the Company's reputation and brand.

Affiliates must not:

• Misrepresent products or services.
• Make false claims.
• Mislead customers.
• Engage in deceptive marketing practices.
• Impersonate Company representatives.
• Create fake customer accounts.
• Engage in spam, unsolicited communications, or fraudulent activities.

13. Customer Contracts

All sales, quotations, invoices, agreements, contracts, pricing, and final business decisions remain exclusively under the control of STANIFICENT GLOBAL TECHNOLOGIES LTD.

The Company reserves the right to:

• Accept or reject any customer.
• Approve or decline any transaction.
• Modify pricing.
• Refuse service.
• Cancel negotiations.

Affiliate Partners have no authority to bind the Company or enter into agreements on its behalf.

14. Intellectual Property

All trademarks, logos, trade names, branding materials, graphics, content, software, documents, and intellectual property associated with the Company remain the exclusive property of STANIFICENT GLOBAL TECHNOLOGIES LTD or its licensors.

Participation in the Affiliate Program does not grant ownership rights in any intellectual property.

15. Independent Relationship

Affiliate Partners are independent contractors.

Nothing in these Terms shall be interpreted as creating:

• Employment.
• Partnership.
• Agency.
• Joint venture.
• Franchise relationship.

Affiliate Partners are solely responsible for their own taxes, expenses, registrations, licenses, and legal obligations.

16. Suspension and Termination

The Company may suspend or terminate an Affiliate at any time, with or without notice, for reasons including:

• Breach of these Terms.
• Fraudulent activities.
• Misrepresentation.
• Conduct that harms the Company's reputation.
• Violation of applicable laws.
• Any activity deemed inappropriate by the Company.

Termination may result in cancellation of pending commissions where permitted by applicable law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, STANIFICENT GLOBAL TECHNOLOGIES LTD shall not be liable for:

• Loss of profits.
• Loss of income.
• Loss of business opportunities.
• Indirect damages.
• Consequential damages.
• Special damages.
• Incidental damages.

Participation in the Affiliate Program is entirely at the Affiliate's own risk.

18. No Warranty

The Affiliate Program is provided on an "AS IS" and "AS AVAILABLE" basis.

The Company makes no warranties, guarantees, or representations regarding:

• Availability of the program.
• Accuracy of information.
• Earnings potential.
• Referral success.
• Customer conversions.

19. Modification of Terms

The Company may modify these Terms at any time.

Updated Terms become effective upon publication.

Continued participation in the Affiliate Program constitutes acceptance of any revised Terms.

20. Privacy

Information submitted during registration and participation may be collected, stored, processed, and used by the Company for the administration of the Affiliate Program and related business purposes in accordance with applicable laws and Company policies.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Benin City, Edo State, Nigeria.

23. Acceptance

By submitting an Affiliate Partner application, accepting approval into the Affiliate Program, or participating in the Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
